A UAE business that registers for corporate tax after its deadline faces a fixed AED 10,000 administrative penalty under Cabinet Decision No. 10 of 2024. Registration is required even if no tax will be due. Register now, file every return on time and keep records, because later penalties stack on top.
Who has to register for corporate tax?
Every UAE resident company and every licensed natural person doing business above the threshold, plus non-residents with a UAE permanent establishment. Registration applies even to businesses that will pay nothing, such as those claiming Small Business Relief or the 0% free zone rate. The 0% band covers the first AED 375,000 of taxable income, with 9% above it (Cabinet Decision No. 116 of 2022).
How much is the late registration penalty?
A flat AED 10,000, introduced by Cabinet Decision No. 10 of 2024 and effective from 1 March 2024 (UAE Ministry of Finance). It is a one-off charge per business, not a monthly one. It does not replace other penalties: a late return or late payment is charged separately.

What should you do if you are already late?
Register on EmaraTax straight away, then make sure the first return is filed within nine months of your first tax period end. Check whether any tax is unpaid: since 14 April 2026, late payment accrues at an annualised 14%, charged monthly (Al Tamimi summary of Cabinet Decision No. 129 of 2025). The faster you file, the less interest builds.
Can the penalty be waived?
Possibly. The FTA has offered a waiver where the business files its first corporate tax return within seven months of the end of its first tax period (Federal Tax Authority). The FTA page does not give an end date, so check the waiver checker on EmaraTax before relying on it. If a penalty is imposed, you can ask for reconsideration with evidence of why the deadline was missed; we cover the process in our tax disputes guide.
Mistakes that lead to late registration
- Assuming a free zone company is exempt. The 0% rate is a tax rate, not an exemption from registering.
- Waiting for the first profit. Registration follows the licence, not the bank balance.
- Registering the owner but not the company, or the other way round. A licensed individual and their company can each have their own obligations.
- Leaving it to the setup agent without checking the TRN was ever issued. Look for the corporate tax registration number in your EmaraTax account.
What to do this week if you are not registered
- Log in to EmaraTax and check whether a corporate tax registration exists for the entity.
- If not, gather the trade licence, Emirates ID and passport of the authorised signatory, and the memorandum of association.
- File the registration and save the confirmation with its date.
- Diary your first return: nine months after your first tax period ends.
- Decide now whether you will elect Small Business Relief, so the books are kept on the right basis.
Frequently asked questions
Does a dormant company need to register?
+
If it is a UAE resident company, generally yes. Registration is separate from whether tax is payable.
Is the AED 10,000 penalty charged every month?
+
No. It is a one-off penalty for late registration.
Does Small Business Relief remove the need to register?
+
No. You must register and file a return to elect the relief.
Do I need a tax agent to register?
+
No. Businesses can register themselves on EmaraTax; an agent helps where the structure or ownership is complex.
